TERMS OF SERVICE

Local Flyer Delivery, LLC.

1. ACCEPTANCE OF TERMS

By accessing or using the services provided by Local Flyer Delivery, LLC. (“Company,” “we,” “us,” or “our”), you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”).

If you do not agree to these Terms, you may not use our services.


2. SERVICES PROVIDED

Local Flyer Delivery is a logistics and marketing coordination company that facilitates the distribution of flyers, door hangers, and promotional materials through independent contractors.

We provide:

  • Door-to-door flyer distribution

  • Targeted neighborhood delivery

  • Marketing material logistics coordination

Important: We do not directly employ delivery personnel. All delivery services are performed by independent contractors.


3. INDEPENDENT CONTRACTOR MODEL

All delivery personnel engaged through Local Flyer Delivery are independent contractors, not employees.

  • We do not control the manner or means of delivery beyond general guidelines

  • Contractors are responsible for their own schedules, transportation, and methods

  • Nothing in this agreement creates an employer-employee relationship

Local Flyer Delivery acts solely as a facilitator and coordinator.


4. CLIENT RESPONSIBILITIES

By purchasing services, you agree to:

  • Provide accurate delivery instructions and target areas

  • Supply lawful, non-misleading marketing materials

  • Ensure materials comply with all federal, state, and local laws

  • Obtain any required permits or approvals

You may not distribute:

  • Illegal, deceptive, or fraudulent content

  • Offensive, discriminatory, or harmful materials

  • Materials violating intellectual property rights

We reserve the right to reject any content at our sole discretion.


5. PAYMENT TERMS

  • Full payment is required prior to service unless otherwise agreed in writing

  • Prices are subject to change without notice

  • All sales are final unless otherwise stated

Failure to pay may result in service suspension or cancellation.


6. NO GUARANTEES OR PERFORMANCE WARRANTIES

While we strive to provide reliable service:

  • We do not guarantee:

    • Exact delivery times

    • 100% distribution completion

    • Marketing results, response rates, or ROI

Delivery counts are estimates, not guarantees.


7. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

Local Flyer Delivery shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Loss of business, revenue, or profits

  • Contractor errors, omissions, or misconduct

  • Missed or incomplete deliveries

Our total liability shall not exceed the amount paid for the specific service.


8. INDEMNIFICATION

You agree to indemnify and hold harmless Local Flyer Delivery, its owners, affiliates, and contractors from any claims, damages, or liabilities arising from:

  • Your marketing content

  • Violation of laws or regulations

  • Misleading or unlawful advertising


9. CANCELLATION & REFUND POLICY

  • Orders may be canceled before dispatch for a partial refund (minus administrative fees)

  • No refunds once distribution has begun

  • Custom or rush orders may be non-refundable


10. DELIVERY CONDITIONS

Delivery services are subject to:

  • Weather conditions

  • Safety concerns

  • Access restrictions (gated communities, no-solicitation areas, etc.)

We are not responsible for:

  • Local ordinance restrictions

  • HOA or neighborhood regulations


11. NON-SOLICITATION OF CONTRACTORS

Clients agree not to:

  • Directly hire or solicit Local Flyer Delivery contractors

  • Circumvent the Company to engage delivery personnel

Violation may result in legal action and damages.


12. INTELLECTUAL PROPERTY

All content on our website, branding, and materials are the property of Local Flyer Delivery and may not be used without permission.


13. PRIVACY

Use of our services is also governed by our Privacy Policy.


14. FORCE MAJEURE

We are not liable for delays or failures due to events beyond our control, including but not limited to:

  • Natural disasters

  • Weather

  • Government actions

  • Labor disruptions


15. DISPUTE RESOLUTION & ARBITRATION

Any disputes arising from these Terms shall be resolved through:

  • Binding arbitration in the State of Texas

  • On an individual basis (no class actions)

Each party shall bear its own legal fees unless otherwise required by law.


16. GOVERNING LAW

These Terms shall be governed by the laws of the State of Texas.


17. MODIFICATIONS TO TERMS

We reserve the right to update or modify these Terms at any time. Continued use of services constitutes acceptance of revised Terms.

CLIENT SERVICE AGREEMENT

Local Flyer Delivery
Effective Date: 01/01/2026

This Client Service Agreement (“Agreement”) is entered into by and between Local Flyer Delivery (“Company,” “we,” “us,” or “our”) and the yourself or business purchasing services (“Client,” “you,” or “your”).

By placing an order, signing a quote, or using our services, you agree to be legally bound by this Agreement.


1. SERVICES

Local Flyer Delivery provides coordination and facilitation of marketing material distribution, including but not limited to:

  • Flyer distribution

  • Door hanger delivery

  • Targeted neighborhood campaigns

All delivery services are performed by independent contractors, not employees of the Company.


2. INDEPENDENT CONTRACTOR RELATIONSHIP

Client acknowledges and agrees:

  • All delivery personnel are independent contractors

  • The Company does not control the manner or means of delivery

  • Contractors may perform services for other parties

Nothing in this Agreement creates:

  • Employer-employee relationship

  • Partnership or joint venture


3. SCOPE OF WORK

Each campaign will be defined by:

  • Delivery area(s)

  • Quantity of materials

  • Estimated completion window

All quantities are good-faith estimates and not guaranteed exact counts.


4. PAYMENT TERMS

  • Full payment is required prior to campaign launch unless otherwise agreed in writing

  • All payments are non-refundable once work has commenced

  • Late payments may result in suspension or cancellation

Client agrees to pay all fees, including:

  • Service fees

  • Administrative costs

  • Collection costs (if applicable)


5. NO PERFORMANCE GUARANTEE

Client acknowledges:

  • The Company does not guarantee results, including:

    • Response rates

    • Lead generation

    • Sales outcomes

  • Distribution is performed on a best-effort basis


6. DELIVERY LIMITATIONS

Client understands that delivery may be affected by:

  • Weather conditions

  • Safety concerns

  • Restricted access areas

  • Local ordinances (including “No Soliciting” zones)

The Company is not responsible for:

  • Skipped locations due to restrictions

  • HOA or municipal prohibitions

  • Mailbox restrictions (federal law)


7. CLIENT CONTENT RESPONSIBILITY

Client is solely responsible for all materials provided.

Client represents and warrants that materials:

  • Comply with all applicable laws

  • Do not infringe on intellectual property rights

  • Are not misleading, fraudulent, or deceptive

The Company reserves the right to reject any content at its sole discretion.


8. INDEMNIFICATION

Client agrees to defend, indemnify, and hold harmless Local Flyer Delivery, its owners, affiliates, and contractors from any claims, damages, liabilities, or expenses arising from:

  • Client-provided content

  • Violations of law

  • False or misleading advertising


9. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • The Company shall not be liable for:

    • Indirect, incidental, or consequential damages

    • Loss of profits, business, or data

    • Contractor performance issues

  • Total liability shall not exceed the total amount paid by Client for the specific campaign.


10. PROOF OF DELIVERY

Proof of delivery may include, but is not guaranteed:

  • GPS tracking data

  • Photographic evidence

  • Route verification

Client agrees that such documentation constitutes sufficient evidence of performance.


11. NON-SOLICITATION / NON-CIRCUMVENTION

Client agrees that during the term of this Agreement and for 12 months thereafter, Client will not:

  • Directly or indirectly solicit, hire, or engage any contractor introduced through the Company

  • Circumvent the Company to obtain similar services

Violation will result in liquidated damages of $5,000 per occurrence or the value of lost business, whichever is greater.


12. CANCELLATION POLICY

  • Campaigns may be canceled prior to dispatch, subject to administrative fees

  • No refunds once distribution has begun

  • Custom campaigns may be non-refundable


13. FORCE MAJEURE

The Company shall not be liable for delays or failure to perform due to causes beyond its control, including:

  • Natural disasters

  • Weather conditions

  • Government restrictions

  • Labor shortages


14. DISPUTE RESOLUTION & ARBITRATION

Any dispute arising under this Agreement shall be resolved by:

  • Binding arbitration in the State of Texas

  • Conducted on an individual basis only (no class actions)

Client waives the right to:

  • Jury trial

  • Class or collective actions


15. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Texas, without regard to conflict of law principles.


16. ATTORNEY’S FEES

In any dispute arising from this Agreement, the prevailing party shall be entitled to recover reasonable attorney’s fees and costs.


17. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.


18. MODIFICATIONS

The Company may update this Agreement at any time. Continued use of services constitutes acceptance of revised terms.


19. SEVERABILITY

If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.

DO-NOT-DELIVER COMPLIANCE POLICY

Local Flyer Delivery
Effective Date: 01/01/2026

This Do-Not-Deliver Compliance Policy (“Policy”) is incorporated into and made part of the Client Service Agreement of Local Flyer Delivery (“Company,” “we,” “us,” or “our”).

By using our services, all clients (“Client,” “you,” or “your”) agree to the terms outlined below.


1. PURPOSE

This Policy exists to:

  • Ensure compliance with federal, state, and local laws

  • Protect contractors and the Company from liability

  • Respect private property rights and community restrictions

  • Establish clear expectations regarding delivery limitations


2. FEDERAL LAW COMPLIANCE (MAILBOX RESTRICTIONS)

Pursuant to federal law:

  • No materials may be placed inside or attached to any mailbox

  • This includes:

    • Residential mailboxes

    • Cluster mail units (CBUs)

    • Postal-designated receptacles

Any instruction by Client to deliver into mailboxes will be refused.


3. DO-NOT-DELIVER LOCATIONS

Contractors are strictly prohibited from delivering to:

A. Properties Marked with Restrictions

  • “No Soliciting” signs

  • “No Trespassing” signs

  • “Do Not Disturb” notices

  • Any signage indicating refusal of marketing materials

B. Restricted or Controlled Access Areas

  • Gated communities without permission

  • Secured apartment complexes

  • Buildings requiring keycards or codes

  • Private roads or restricted-entry neighborhoods

C. Government & Sensitive Locations

  • Schools (K-12)

  • Government buildings

  • Police stations, fire stations

  • Military installations

D. Hazardous or Unsafe Locations

  • Aggressive animals present

  • Unsafe walking conditions

  • Construction zones

  • Any area deemed unsafe at contractor’s discretion


4. HOA & MUNICIPAL RESTRICTIONS

Client acknowledges:

  • Many neighborhoods are governed by HOA rules or city ordinances restricting flyer distribution

  • The Company and its contractors will not violate local regulations

It is the Client’s sole responsibility to:

  • Verify legal permissibility of distribution

  • Obtain any necessary approvals or permits


5. CONTRACTOR DISCRETION & SAFETY AUTHORITY

Contractors retain full discretion to:

  • Skip any property that appears restricted or unsafe

  • Modify routes to comply with laws and safety standards

Such decisions are final and not subject to dispute.


6. NO GUARANTEE OF FULL COVERAGE

Due to compliance requirements, Client acknowledges:

  • Not all properties within a target area will receive materials

  • Delivery coverage is approximate and not guaranteed

No refunds or credits will be issued for:

  • Skipped homes due to compliance

  • Restricted or inaccessible areas


7. PROHIBITED DELIVERY METHODS

The following methods are strictly prohibited:

  • Placing materials inside mailboxes (federal offense)

  • Opening doors or entering private property structures

  • Leaving materials in vehicles

  • Affixing materials in a way that damages property


8. CLIENT LIABILITY FOR NON-COMPLIANT INSTRUCTIONS

If Client provides instructions that violate laws or this Policy:

  • The Company may refuse service without refund

  • Client assumes full legal responsibility for such instructions

Client agrees to indemnify and hold harmless the Company from any resulting claims.


9. DOCUMENTATION & PROOF

Delivery verification may include:

  • GPS tracking

  • Route mapping

  • Photographic evidence

Client agrees this documentation is sufficient to demonstrate compliance with this Policy.


10. ZERO TOLERANCE ENFORCEMENT

Local Flyer Delivery maintains a strict compliance standard:

  • Contractors violating this Policy may be removed immediately

  • Clients requesting violations may be denied future service


11. LIMITATION OF LIABILITY

The Company shall not be liable for:

  • Missed deliveries due to compliance requirements

  • Legal restrictions imposed by third parties

  • Contractor decisions made in good faith for safety or compliance


12. POLICY UPDATES

We reserve the right to update this Policy at any time. Continued use of services constitutes acceptance of any revisions.
